Senior Legal Advisor, Debt Finance

Petroplan is seeking to hire a Senior Legal Advisor - Debt Finance for one of its Clients within Oman.<br> <br><b> Job Responsibility: </b><br> <br>Supporting the General Counsel in the delivery of his/her duties including the following matters:<br> <ul> <li>Develop and run appropriate legal strategies and solutions to facilitate Company commercial objectives in debt finance matters including those relating to the company subsidiaries.</li> <li></li> <li>Supporting the Debt Management Office (DMO) of the Ministry of Finance, where required, on government debt matters.</li> </ul> <ul> <li>Review and understand all the Company relevant regulations such as Sultani Decrees and its amendments, Ministerial Orders, and any local laws as they pertain to debt finance matters.</li> </ul> <ul> <li>Provide analysis to and counsel senior management on legal compliance issues relating to debt finance matters of Company operations on matters arising in Oman and international jurisdictions that the Company operates in.</li> </ul> <ul> <li>Assist in the development of the overall legal framework for the Company and its subsidiaries, in line with existing local regulations, Sultani Decree, and government policies and Ministerial orders. The framework should include relevant policies and procedures including process flow charts.</li> </ul> <ul> <li>Act as a focal point in dealing with external lawyers by selecting and recommending the appointment of all external legal counsel, managing and coordinating the use of their services including effectively managing legal costs within agreed technical and cost parameters as the same relates to debt finance matters.</li> </ul> <br><b>Work with external counsel as appropriate to:</b><br> <ul> <li>Prepare legal advice, documents and contracts, including transactional documents and assist in the negotiations as required by the relevant deal team or management.</li> </ul> <ul> <li>Provide legal assessments, interpretations, recommendations and representation to the management on day-to-day finance matters, which will include all investment transactions, vendor service contracts, joint venture agreements, third party outsourcing contracts, etc.</li> </ul> <ul> <li>Provide legal advice on actual or anticipated litigation issues and work with external legal counsel and assist as appropriate.</li> </ul> <ul> <li>Assist, as required by the business heads, in the legal due diligence of direct investment transactions (including real estate, private equity, and corporate) involving participation in or acquisitions and divestitures on the part of the Company from structuring through to execution. </li> </ul> <ul> <li>Flag legal issues for business resolution and propose alternatives and recommend solutions to achieve business objectives and minimize legal risk.</li> </ul> <ul> <li>Compile standard Company documents such as terms of Business, Non-Disclosure and confidentiality agreements, and contract and term sheets, etc.</li> </ul> <ul> <li>Provide
