The role will work closely with the functions and operations within the region.<br><br>As a Corporate Governance Specialist, you will be responsible for:<br><ul><li>Coordinating and drafting of corporate governance matters for designated subsidiaries and branches in the Middle East and North Africa <br></li><li>Coordinating and conducting board and shareholder meetings, minute taking and arranging for filling with the relevant internal and external registers <br></li><li>Ensuring all legal entities in scope are compliant with applicable laws and internal governance standards <br></li><li>Advising legal entity directors and boards on their roles and responsibilities, facilitating the orientation of new directors <br></li><li>Drafting and delivering supporting corporate documents such as officer, ownership and incumbency certificates to be used for bids, treasury requirements and other company operational needs <br></li><li>Drafting, delivering, and managing company-wide power of attorney requests for the subsidiaries <br></li><li>Leading and coordinating with the external party providers <br></li><li>Overseeing the maintenance of the regional legal entity data in the database <br></li></ul><br><br><b> Fuel your passion </b><br><br>To be successful in this role you will:<br><ul><li>Have a Bachelor degree from an accredited university or college <br></li><li>Be fluent in English and Arabic (both writing and speaking) <br></li><li>Have 5+ years of experience of complex international legal entity structures and restructuring of entities <br></li><li>Be able to handle a high volume of tasks and meet objectives within tight deadline<br></li><li>Have very good knowledge of Blueprint software<br></li></ul><br><br><b> Work in a way that works for you </b><br><br>We recognize that everyone is different and that the way in which people want to work and deliver at their best is different for everyone too.
