We provide critical legal support across all product companies working closely with the company's business development team and all of the legal department's functions. We partner with the business to provide advice, guidance and action to ensure the success of the future of our business.<br><br><b>Partner with the best</b><br><br>The position will collaborate with business personnel and product line IP counsel to participate in target evaluation, due diligence and the review and negotiation of intellectual property-related terms in various mergers and acquisitions transactions. Additional IP responsibilities may be assigned as well, including patent application oversite and portfolio management. At all times the viable candidate must demonstrate a thoughtful and reasoned approach to all decisions while exhibiting the highest levels of integrity and professionalism.<br><br>As a Senior Counsel - IP, you will be responsible for:<br><br><ul><li>Manage, implement, and improve global Intellectual Property strategies for assigned business units to support strategic business objectives including harvesting new inventions, leading invention review boards, managing multiple IP budgets, and overseeing internal resources and outside counsel responsible for patent and trademark prosecution.</li><li>Advise management in the legal function and in the business as to IP risks and opportunities in business and technology plans.</li><li>Advise business on optimal structure of business arrangements and technology strategy based on current and anticipated IP portfolio as well as competitive considerations</li><li>Negotiate agreements with detailed IP terms including joint development agreements, IP licenses, Master Service Agreements, M&A agreements, NDAs, and the like. </li><li>Structure, negotiate, and draft contracts to support global licensing and commercial activities including those related to software and digital technologies.</li><li>Implement IP landscape and IP clearance reviews and processes to minimize patent infringement risk.</li><li>Provide training to increase business' awareness on IP matters and drive culture of compliance.</li><li>Reconcile IP and technology strategies as well as business objectives to adapt to varying IP laws around the world.</li><li>Investigate allegations of employee IP theft and data loss.</li><li>Assist in IP due diligence for M&A activities.</li><li>Assist marketing and communications groups with branding campaigns, including clearance and protection of new trademarks.</li><li>Identification, assessment, and management of technical data and other digital rights </li></ul><br><br><b>Fuel your passion</b><br><br>To be successful in this role you will:<br><ul><li>JD or equivalent from an accredited law school or university.</li><li>Licensed to practice before one or more international Patent Offices</li><li>Minimum five years intellectual property practice in patents, trademarks, and (complex) IP transactions. </li><li>Experience correlating IP and licensing strategy with business strategy.</li><li>Bachelor's degree in engineering or science, preferably mechanical, electrical, or computer science.</li><li>Experience working independently as well as in a team-based environment.</li><li>Experience in supporting a global business.</li><li>Experience with governmental R&D funding and IP issues associated therewith a plus</li><li>Experience with advising international businesses with IP issues, including advice and establishment of policies and procedures to protect IP assets</li><li>Experience with IP transactions, assignments, licensing, and joint venture arrangements as well as cross internal business licenses/arrangements</li></ul><ul><li>Experience preparing and prosecution of domestic and foreign patent & trademark applications</li><li>Experience managing an assigned intellectual property portfolio including patents, trademarks, copyrights, and trade secrets</li><li>Experience with cybersecurity legal issues and open-source software licenses</li><li>Ability to speak multiple languages highly desired</li></ul><br><br><b> Desired Characteristics </b><br><ul><li>Strong oral and written communication skills.</li><li>Strong interpersonal and leadership skills.</li><li>Ability to analyze and resolve problems.</li><li>Ability to lead programs / projects.</li><li>Ability to identify, analyze and distill complex issues and data into easy-to-understand communications.</li><li>Ability to provide legal counseling to world-class scientists and corporate management staff regarding international intellectual property matters</li><li>Experience with IP issues relative to government funded awards and grants a plus</li></ul><br><br><b>Work in a way that works for you</b><br><br>We recognize that everyone is different and that the way in which people want to work and deliver at their best is different for everyone too.
