<b>JOB PURPOSE:</b><br> <br>Assist Senior Legal Counsel-Corporate & Commercial Affairs in providing professional consultation and advisory services to Senior and Line Management on all matters that have legal ramifications. Ensure compliance by the company in conducting its business with all applicable UAE and Abu Dhabi laws and regulations and Shareholders' agreements.<br><br><b>KEY ACCOUNTABILITIES:</b><br> <br><b> Job Specific Accountabilities: </b><ul> <li>Provide professional Legal advice and guidance on all matters relating to company's business operations with a view to protect company's rights and interests.</li> <li>Advise on and raise awareness of liabilities and risk management in order to control company's exposure.</li> <li>Provide internal legal advice with a view to ensure that all company's legal operations and activities are at all times well conducted in line with the applicable laws, rules and regulations.</li> <li>Review and advice on policies and procedures laid out by different Divisions/Departments within the Company or by ADNOC for legal appropriateness.</li> <li>Give opinions on legal claims from contractors or suppliers within the ambit of the contracts signed with them (if any) and attempt to resolve issues amicably in the best interest of the Company.</li> <li>Keep abreast of any federal and local laws and regulations and disseminate knowledge to the concerned accordingly.</li> <li>Review and provide advice on the legal terms pertaining to Business Agreement (whenever required).</li> <li>Review and prepare responses to correspondences received from external local law firms.</li> <li>Extend legal advice to Compliance Officer whenever required to ensure appropriate actions are taken in compliance with laws, regulations and policies.</li> <li>Review Non-Disclosure Agreements (NDAs) and Confidentiality/Secrecy Agreements pertaining to ADNOC Refining Research Centre (ARRC) and provide input to ensure confidentiality with regard to the exchange of catalysts samples.</li> <li>Attend meetings and prepare internal legal communications and communications with ADNOC, its OPCOs and other governmental and non-governmental bodies for the benefits of the Company's business interests.</li> <li>Prepare and update the annual Tasks & Targets to achieve the required individual targets.</li> <li>Provide input/data to the concerned staff for the update of the Division Monthly Activity Report (MAR).</li> <li>Review and implement Audit Points and recommendations as applicable.</li> <li>Meet the deadlines set by GC, Legal, and Compliance & Governance Division for the daily and monthly activities.</li> </ul><br><b> Generic Accountabilities: </b><ul> <li>Plan, supervise and coordinate all activities in the assigned area to meet functional objectives.</li> <li>Train and develop the assigned staff on relevant skills to enable them to become proficient on the job and deliver the respective section objectives.</li> </ul><br><b>Operational Plans</b><ul> <li>Develop consistent and realistic long and short term scheduling plans for the Department in line with the Division objectives and manage the implementation of the approved long and short term plans and ensure they are effectively converted into its performance objectives to realise the Division Objectives and established service levels.</li> </ul><br><b>Budgets and Operational Plans</b><ul> <li>Develop and manage the Department annual budget in line with the Division's business objectives and operational plans ensuring that adequate funding provision is made for all Department activities.</li> <li>Monitor expenditure against approved Department budget on a regular basis; investigate, highlight and reconcile any significant variances to ensure effective performance and cost control.</li> </ul><br><b>Policies, Systems, Processes & Procedures</b><ul> <li>Develop and implement appropriate Department policies, processes, systems, standards, procedures and internal controls, Company guidelines in order to support execution of the Division's work programs in line with Company and International standards.</li> </ul><br><b>Performance Management</b><ul> <li>Contribute to the development of the Division's KPI's and ensure proper cascade of the Performance objectives within the Department and establish monitoring mechanisms to ensure delivery of these objectives and promote a performance driven culture.</li> <li>Manage the implementation of the Company Performance Management System for individuals within the Department in accordance with Company approved guidelines.</li> </ul><br><b>People Development</b><ul> <li>Develop knowledge, competencies and innovative spirit in the Department and support the establishment of Personal Development Plans (PDP's), Succession Planning and Talent pipeline within the Department in coordination with the Human Capital to continuously develop employees with emphasis on UAE Nationals to meet Emiratization targets.</li> </ul><br><b>Organisation Structure and Development</b><ul> <li>Review, develop and recommend the appropriate organisation structure for the Department that will best utilise human capital while proactively incorporating sustainability into the on-going work practices to meet the business objectives.</li> </ul><br><b>Risk Management</b><ul> <li>Contribute and support establishment of a Corporate Integrated Risk Management System within the Department, while identifying and assessing relevant domain risks and implement measures to manage and mitigate all identified risks within the Department.</li> <li>Communicate corporate business ethics and Company's Code of Conduct to employees within the Department and ensure compliance to the Corporate Policies and guidelines.</li> </ul><br><b>Innovation and Continuous Improvement</b><ul> <li>Promote an organisation culture that encourages innovation, enhances employee motivation and supports initiatives for implementation of Change Management to continuously improve the Department operations and services.</li> <li>Recommend improvements in internal processes against best practices in pursuit of greater efficiency in line with ISO standards in order to define intelligent solutions for issues confronting the Department.</li> </ul><br><b>Health, Safety, Environment (HSE) and Sustainability</b><ul> <li>Support the institution and implementation of an HSE culture and ensure compliance with relevant HSE policies, procedures, systems & controls and applicable legislation and sustainability guidelines across the Department in line with international standards, best practices and ADNOC Code of Practices.</li> <li>Ensure adequate HSE training and induction for all Department employees to meet HSE standards.</li> </ul><br><b>Management Information Systems (MIS) and Reports</b><ul> <li><b>Ensure that all Department MIS and progress reports are prepared to provide accurate and timely reports and necessary information to Company Management to effectively manage the business.</b></li> </ul><br><b>COMMUNICATIONS & WORKING RELATIONSHIPS:</b><br><br><b>Internal</b><ul> <li>Senior Legal Counsel & General Legal Counsel for providing information and reports, and receiving guidance.</li> <li>Company Employees up to Section Head levels for interpretation and implementation of legal issues.</li> </ul><br><b>External</b><ul> <li>Representatives of ADNOC / Group Companies' Legal Counsels for work discussion & coordination.</li> <li>External / Local and international law firms.</li> <li>Court cases representatives.</li> <li>Government / Judicial or official authorities such as Courts, Police Departments, and Public Prosecution regarding civil and criminal cases / issues.</li> <li>Notary Public, Abu Dhabi Chamber of Commerce, etc.</li> </ul><br><b><b>QUALIFICATIONS, EXPERIENCE, KNOWLEDGE & SKILLS:</b></b><br><br><b>Minimum Qualification</b><ul> <li>L.L.B. or equivalent Degree in Law from a recognized university.</li> </ul><br><b>Minimum Experience & Knowledge</b><ul> <li>7 years of experience in advocacy practices and contracts reviewing, preferably in the oil, gas or related industry.</li> </ul><br><b>Skills</b><ul> <li>Sound knowledge of international oil industry contracts and UAE Laws & Practices.</li> <li>Excellent communication skills.</li> <li>Knowledge of and experience in relevant software applications (i.e. Microsoft Office, Excel etc.)</li> <li>Proficiency in English & Arabic, both oral & written.</li> </ul><br><b>Professional Certifications</b><br> <br>Certified advocacy license from the UAE Ministry of Justice (for UAE Nationals) to represent the Company
