Legal Counsel

Purpose<br> This job description details responsibilities for the role of Legal Counsel reporting to the Deputy General Counsel.<br><br> Primary purpose of role<br> Provide timely, quality, legal and commercial advice to the company and assist other members of the Legal Team in providing leadership, direction and management of our legal strategy and actions.<br><br> Major duties<br> Provide timely, accurate legal advice to our stakeholders, including: Engineering, Procurement, Operations, Maintenance, BD, HR, IT, Finance and senior management supporting informed decision- making.  <br><br> Provide sound and pragmatic legal/contractual solutions to business matters, mitigating commercial risk whilst maintaining business focus.<br><br> Review, draft and negotiate a wide variety of commercial contracts including:<br><ul><li>Non-disclosure agreements, variations, heads of terms, memorandums of understanding, letters of intent;</li><li>Supply of good/services agreements;</li><li>Long term site operation and maintenance agreements;</li><li>Engineering and construction contracts (including NEC, IChemE and LOGIC standard forms);</li><li>Agreements in relation to supply of energy trading services etc;</li><li>General business services agreements including in relation to IT and HR;</li><li>Joint venture agreements.</li></ul><br> Complete assigned company secretarial duties in a timely and accurate manner.<br><br> Maintain accurate and up-to-date legal document retention systems and precedents bank.<br><br> Provide ad-hoc contracts training and other agreed training to stakeholders within the business.<br><br> Keep up to date with relevant case law and legislative changes affecting the business, disseminating info to colleagues as appropriate.  Complete other required competency activities to retain professional competency.<br><br> Actively looks for and implement agreed ways to improve systems, processes and services.<br><br> Positively present the role of Legal Counsel to the business and it's customers.<br /><br />With over 90 years' combined experience, NES Fircroft (NES) is proud to be the world's leading engineering staffing provider spanning the Oil &amp; Gas, Power &amp; Renewables, Infrastructure, Life Sciences, Mining, Automotive and Chemicals sectors worldwide.With more than 100 offices in 45 countries, we are able to provide our clients with the engineering and technical expertise they need, wherever and whenever it is needed.
