<b> Overview / Responsibilities </b><br><br>Wood is looking for a committed and enthusiastic individual to become the Corporate Secretarial Paralegal, reporting directly to the Vice President, Legal and Corporate Governance. The Corporate Governance team is responsible for handling all corporate governance matters and regulatory obligations affecting John Wood Group plc and its subsidiary and joint venture companies globally. The role holder will join a motivated team to provide efficient and high-quality company secretarial services to the Group. We work on a hybrid basis and can therefore consider applications from throughout Scotland, with occasional travel to Aberdeen. <br><br><b>Key responsibilities </b> <br><ul><li> Ensure that the statutory maintenance and filings requirements of the group's global entities (including statutory registers) are met. </li><li> Ensure the entity management system is kept up to date as appropriate to ensure timely and accurate information about all group companies is recorded. </li><li> Assist with the drafting, implementation, training, audit and review of company secretarial policies and procedures ensuring compliance with the relevant legislation </li><li> Process legal documents to be notarised, legalised and apostilled. </li><li> Managing ultimate beneficial ownership disclosure and reporting for Wood's entities. </li><li> Corporate administration experience highly desirable including but not limited to dividends/distributions (cash or in specie), reduction of share capital/share premium, conversion / redesignation of share capital, reduction of statutory reserves by bonus issue of shares, capitalisations in order to increase reserves position and clear liabilities, net settlement agreements, offset agreements, share transfers, share buy-backs, redemption of preference shares, capitalisation of debts, assignment / waiver of loan receivables, voluntary strike-offs, novations, assignments and drafting documentation related to same or reviewing documents for such transactions prepared by external legal counsel; </li><li> Responding to AMC and KYC requests and providing supporting data </li><li> Managing approvals and records for parent company guarantees and powers of attorney </li><li> Support legal, compliance, finance and tax teams with transactions (acquisitions, financings, restructuring) from a corporate administration perspective. </li><li> Work with relevant internal and external advisors to set up and support new corporate entities in the UK and Europe and manage new compliance requirements. </li><li> Assist the team with the AGM and other Directors', shareholder meetings. </li><li> Ad-hoc long-term projects, assisting and supporting the Vice President Legal & Corporate Governance on corporate transactions and other projects as and when required. </li></ul> <br><br><b> Skills / Qualifications </b><br><br>Consistently models and leads on Wood's values, working with integrity, respecting and valuing others and our communities; consistently delivers to stakeholders; and pushes the boundaries to create smarter, more sustainable solutions <br><br><b> Qualifications: </b><br><ul><li> ICSA qualification or equivalent desirable (not essential) </li></ul><br><b> Job specific experience: </b><br><ul><li> Experience working in either a professional services firm or in-house company secretarial team </li><li> Experience working within a listed company environment highly desirable. </li><li> Knowledge of UK corporate law, listing regime and corporate governance codes with some experience of having to assess, interpret and apply requirements. </li><li> Microsoft office, excel and powerpoint proficient </li></ul><br><b> Kn owledge of: </b><br><ul><li> Demonstrated a commitment to continuous learning and development </li><li> Changing regulatory environment </li></ul><br><b> Experience of: </b><br><ul><li> Legal analysis and problem solving </li></ul> <br><br><b> Company Overview </b><br><br>Wood is a global leader in engineering and consultancy across energy and the built environment, helping to unlock solutions to some of the world's most critical challenges.
